Disclaimer

1.0 Overview
             
1.1 For purposes of this SOF, the capitalized terms shall have the meaning assigned to them in this SOF.  Other capitalized terms in this SOF shall have the meanings assigned to them as set forth in the Master Service Agreement.  Terms in the singular form will also include the plural, and vice versa, where the context so requires.

2.0 Definitions

2.1 "Minimum monthly Recurring Commitment" means the minimum amount to be billed by CommPutercations to Subscriber regardless of the actual number of Primary Users and Secondary Users.

2.2 "Price Per User" means the fee charged for the right for a Primary User or a Secondary User to use the Service, in accordance with the agreed upon terms.  The Per User price is presented on a per month basis and does not include any applicable sales tax.  

2.3 "Primary User" means a user of the Services that is authorized by the Company.     

2.4 "Secondary User" means a user of the Services that is authorized by a Primary User. 

2.5 "Services" shall mean the CPI SecureMail encrypted email service. 

2.6 "Tertiary Users" means third-party recipients who have web-enabled read-only access to encrypted messages received from Primary Users and from Secondary Users. 

2.7 "User" means a natural person using the Services that is either a Primary User or a Secondary User. 

3.0 Open Source Notice.  

3.1 Notwithstanding anything to the contrary, the rights set forth in this SOF do not extend to other services or materials which may be made available by CommPutercations, or otherwise obtained or used by Subscriber, subject to an open source license or other open source terms (collectively, "Open Source Software").  Subscriber agrees that all Open Source products related to the Services shall be and shall remain subject to the terms and conditions under which it is provided. 

4.0 Fees.  

4.1 Subscriber shall pay Supplier the Service fees and any other fees specified herein, based on actual number of Users stated in the SOF.  The Service fees for the first month shall be prorated if applicable.  Subscriber shall be charged on a per User basis for the number of Users stated on page one of this Agreement.  If, for two consecutive months, Subscriber's actual number of total Primary Users and Secondary Users using the Services exceeds the number of Users stated in this SOF, then in the third month, Subscriber will be charged and Subscriber hereby agrees to pay for the greater of the MMRC or the fees resulting from the actual number of Primary Users and Secondary Users.   A Service fee is not charged for Tertiary Users. 

5.0 Term

5.1 The Term of this SOF shall be as stated in this SOF.  This SOF shall automatically renew for additional periods of 12 months each unless either party provides at least 30 days prior written notice to the other party of that party's intent to terminate the SOF at then end of the expiration of the Term or any renewal thereof.
